| 摘 要： | 本文从法学与经济学的角度考察了学者们所共同关心的公司治理结构问题,探讨了公司治理结构的涵义、各国模式,分析了构建有效的公司治理结构所形成的理论基础,并运用资 本、劳动、管理三种逻辑相协调的经济学理论和企业自体、相关利害团体参与的法学理论对中国现有的公司治理结构进行了批判性的反思,并在此基础上就如何构建有效的中国公司治理结构提出了一些建设性的建议.

| Abstract: | Based on the law and economics,we study the definition,different governance models and the theoretical basis of corporate governance.Using the theory of stakeholders and the theory of enterprise-own-self,we analyze the existing problem in the current corporate governance of China. On the previous analysis,the article puts forward some suggestions on the establishment of an effective corporate governance structure. |
