股东资格继承问题研究

股权可以继承,这在国内法学界并没有多大争议。但学者们在股权继承的内容、方式上却存在严重分歧,争论的焦点集中在继承人是否有权取得原为被继承人享有的股东资格。分析原因,是由于对"股东资格"与股东"身份"、有限责任公司的资合性与人合性、股东的自益权与共益权三方面的关系存在不同理解所致。因此,厘清有限责任公司中"股东资格"与股东"身份"、公司的资合性与人合性、股东的自益权与共益权三方面的关系,对于正确理解股东资格的继承是非常必要的。

A Study of the Inheritance of Shareholder's Title

There is little controversy over the inheritability of the rights of shareholders in the domestic circle of law.However,the scholars in the field of lawseriously dispute its content and form.Their arguments focus on whether the inheritor retains the same entitlements as the inherited because of the different understandings of the relationship between shareholder's status and title,capital combination and one-shareholder corporation,and the shareholder's rights of self-interest and public interest.This paper explores the inheritance of shareholder's title by comparing the three relationships mentioned above.
