后危机时代中国民营企业治理的法律规制问题——以国美控制权之争为例

国美之争看似大股东与职业经理人之间的控制权之争,实质上是传统家族式治理与现代企业公司治理两种制度之间的博弈。所以,在民营企业中,那些看似规范的、科学的、合理的公司治理制度,很大程度上形似而神不至,根本不能体现公司的全部权力关系,故后危机时代的中国民营企业在提升自身实力、活力、竞争力时,面临公司治理上的严峻挑战。公司治理作为一种制度安排,实际上是各利益主体在公司内部为了各自的利益进行的博弈过程,这一过程不仅需要遵守一定的法律规则,同时还需要相关法律规则的不断修改与完善,以满足发展和变化着的公司实践的需求。
