试论“后金融危机时代”中小企业的法律保护与监管

在我国经济社会发展中,中小企业发挥着不可或缺的重要作用,进一步活跃了市场经济,提高了经济效益,也促进了民间资本的有效利用。但是在"后金融危机时代"中,我国的居民消费价格指数(CPI)不断攀升,企业的生产成本也在递增。在信贷总量控制措施下,企业流动资金趋紧,市场资金价格大幅提高,不少中小企业都遇到了"融资难"、"用工荒"、"货难卖"等问题,甚至在有的地区例如温州、鄂尔多斯等地多家企业因民间借贷陷入了严重的债务危机。本文从公司法、经济法的角度分析中小企业目前存在的困境,进而探究中小企业的法律保护和监管问题,最后提出一系列政策建议。

Legal Protection and Regulation of SMEs in the "Post-crisis Era"

During the economic and social development in China,SMEs play an indispensable role,further activating the market economy,improving economic efficiency,and promoting the effective use of private capital.But in the "post-crisis era",China′s consumer price index(CPI) is rising and production costs are increasing.Along with the control measures in the total amount of credit,corporate liquidity is tightened,the market price of funding increases substantially,so that many SMEs have experienced "financial difficulties","labor shortage",and "difficulties in the sale of goods".In some areas like Wenzhou and Ordos,private lending enterprises have gone into a serious debt crisis.This paper,from the perspective of corporate law and economic law,analyzes the existing difficulties of SMEs,explores the legal protection of SMEs and regulations,and finally provides a series of policy recommendations.
