| 摘 要： | 以信托型基金为基点探讨了证券投资基金的民事责任法律制度，以期有助于《证券投资基金法(草案)》的完善。首先说明了建立证券投资基金民事责任的必要性，再从法律关系架构角度论证了信赖义务是民事责任的基础，继而从基本类型、构成要件、实现机制三方面论述了民事责任法律制度，最后，对证券投资基金民事责任相关问题进行了反思。

| Abstract: | Taking trust-based fund for example,an explorative discussion is made of the legal system relating to civil liability of portfolio investment funds.The necessity for the establishment of civil liability of portfolio investment funds is explained first.Then,it is argued in light of legal relations structure that the obligation of trust is the basis of civil liablility.Next,a discussion is made on the legal system relating to civil liability in terms of its basic type,component element and performing mechanism.Finally,some reflections are made on the problems relating to civil liability of portfolio investment funds. |
