| 摘 要： | 国有股权转让协议的法律本质是一份合同,对其效力的分析与其他类型合同效力的审查并无实质不同。但国有股权的公有制属性和社会性决定了国有股权转让协议效力判断的特殊性。文章试从一般性因素和特殊性因素两方面对国有股权转让协议效力进行分析,并对二者进行综合的考虑和衡量,从而对协议效力作出判断。

| Abstract: | The national share rights transferring agreement is a contract in the essence,so there is no genius difference on the judgement of effectiveness.But the public property and sociality of the nationgal share rights, makes the judgement of effectiveness have its own particularity.This article does some analysis from the univer- sality factors and the particularity factors,and then does some judgement on this basis. |
