| 摘 要： | 在现代企业中,商业秘密日益成为企业重要的无形财产.在司法实践中,为了能更好地处理好职工与企业之间因商业秘密保护而产生的纠纷,应贯彻利益衡量的原则,对商业秘密拥有者与职工之间的利益进行整体衡量,并从在职职工、离职职工、竞业禁止合同三方面就职工与单位之间的利益问题进行了具体衡量与分析,并在此基础上从立法和司法两个层面上提出了具体的立法建议和具体的司法措施.
