| 摘 要： | 建立现代企业制度，推行公司制改革，使企业享有包括国家在内的投资者形成的全部法人财产，并以其拥有的全部法人财产依法独立经营，这是现代企业制度的核心和本质。本文即从现代企业制度的特征、形成及现代企业制度的核心来说明现代企业制度的本质。
