| 摘 要： | 国有大企业在公司制改革中由于公司法人治理结构运作不规范,导致了领导体制方面的矛盾,其主要原因是政府职能转变滞后和公司内部管理混乱,以及缺乏非国有投资主体的参与、法人治理结构不完善等,为此笔者提出了四个方面的对策.

| Abstract: | The unstandard operation of the corporation administrative structure in reforms of mechanism of state enterprises leads to conflicts in administrartive mechanism due to the sluggish change of government functions and confused internal management as well as lack of non state investments and the imperfect corporation administrative structure .The author suggests four countermeasures. |
