日本的董事激励机制及对我们的启示

摘    要:本文从公司治理结构出发 ,对股份制公司与董事的关系作了简要的阐述 ,指出董事会及董事的受托责任。然后 ,通过具体介绍日本对董事的激励机制的背景及具体的做法 ,提出我国目前公司治理结构不科学不合理 ,建议施行对董事的激励机制 ,并就该激励机制的设计做出简要的阐述。

Abstract:Starting with enterprise controlling structure, the paper briefly introduces the relation between joint stock company and its directors, and it points out the obligations of the directorate and the directors. Through concretely introducing the background and the methods of the system which bestir the directors in Japan, the author points out that the cnterprise controlling structure in our country is not scientific or reasonable and suggest adopting the incentive mechanism for the directors. And finally, a brief explanation is given about how to design such a mechanism in the paper.
