全球公司治理模式何去何从,趋同化还是多样化,是近年比较公司治理学争论的核心。为此,在梳理公司治理模式演进趋势不同学派观点的基础上,对英美模式国家与内陆模式国家在资本市场的作用、企业股权结构、董事会系统三大方面以全球化视野进行比较,归结出公司治理模式演进趋势应为同中有异,即在相互影响的前提下保持自己的特色,并对我国公司治理模式的选择提供借鉴意义。

Comparative Analysis on the Tendency of Corporate Governance Models in Globalization

In these two years, there are heated discussions on the tendency of global corporate governance model, congruence or diversification.we, therefore, study the different styles on the tendency of global corporate governance model, and compare the role of capital market, equity structure of enterprises and board system between the Anglo-Saxon model and Rhineland model. We find the tendency of it that every country should keep the distinguishing features in the period of congruence, this can give us the implication when we choose corporate governance model.
