| 摘 要： | 通过对我国上市公司独立董事选任机制现状的剖析,可以发现独立董事的选任机制存在明显的缺陷。文章主要就独立董事的任职资格、提名、选举三个方面对完善独立董事制度提出可行的措施和建议,以有助于人们思考独立董事制度的完善。

| Abstract: | Through analyzing the present situation of appointment mechanism of independent director in listed company in our country,we discover that many obvious flaws do exist in the mechanism.We present in this paper many feasible measures and suggestions on the qualification,nomination and election of independent director in order to improve independent director system.It is also hoped that this paper will be of help for people to ponder the improvement of appointment mechanism of independent director. |
