| 摘 要： | 本文试图摆脱民商分立与民商合一的争论模式,以一种更为务实的态度,从商法法典化的认识论基础及历史传统、法德日商法典内容与体系变迁的实际以及商事关系的特点三个角度,系统阐述了商法不能法典化的理由;进而提出在民商法一元化的前提下,以<商事通则>为中心、以单行法规定具体商事制度的商法立法模式.

| Abstract: | The thesis attempts to get rid of the single mode of debate either on division of civil and commercial laws or on unification of the two. In a more pragmatic way, it elaborates, from three points of view, on why the commercial code should not be codified, namely, the epistemological foundation and historical tradition of codification of the commercial code, the evolution of the content and structure of commercial laws in France, Germany and Japan, and the characteristics of commercial activities. It then puts forward a legislative model of commercial code for China which, preceded by the unification of civil and commercial laws and centered by General Principles of the Commercial Law, stipulates particular business institutions with special regulations. |
