| 摘 要： | 近年来,我国企业并购市场日益活跃,税务筹划和合作竞争成为企业并购的主要动因.企业通过并购虽然能够暂时摆脱经营困难,但在企业并购过程中仍存在许多风险问题,如由于信息不对称带来的估价风险,筹集并购资金过程中出现的融资风险,以及财务整合不利导致一系列财务问题等.为了解决这些问题,企业除要做好并购前的调查,改善融资方式外,还要制定正确的财务经营战略,规范财务制度,加强资产和负债的整合力度,确保企业并购成功,增强企业竞争力及应对金融危机的能力.
