| 摘 要： | 对于自我交易,各国公司立法确立了比较完备的实体规规和相应有效的救济程序,而我国现行的《公司法》只是在第61条第2款作了原则性的禁止规定,缺乏可操作性。鉴于现有立法之不足,通过对各国关于自我交易规定的比较研究,试图确立符合法理的实体和程序规则,使得我国公司法上的自我交易问题得到有效解决。

| Abstract: | For self-dealing, many a foreign country has a company law thag has a complete entity rule and a valid relief procedure . But the current Company Law of China stipulates some prohibitions in principle in Article 61 Section 2 and it is therefore not operable. With a comparison of provisions about self-dealing in some company laws of some foreign countries, this article attempts to define the entity and rules of self-dealing in the company law of China. |
