In China’s stock market, many companies’ shares are mainly kept by several holders, which results in the problem that these major shareholders might obtain interests at the cost of many minor shareholdes. Besides, management staff’s “moral hazard” is another problem haunting public company’s shareholders because of its lack of transparency in operation. To solve the above problems, many public companies have introduced the independent director institution from abroad where it has been proved to be fairly effective. However, the goals haven’t been achieved as expected owing to the immaturity and some defects of the stock market. So, it is necessary that some measures be taken to perfect the independent director institution.
