论欧盟超国家商事组织的创新

在经济一体化过程中，欧盟开创性地发展出几种超国家的商事组织形态。作为最先诞生的超国家商事组织，欧洲经济利益集团并非真正意义上的公司。欧洲公司是第一个真正意义上的超国家公司形态，延续了欧洲经济利益集团的跨境性和自由流动性，在设立制度、责任承担、职工参与制度等问题上有了新的规定。欧洲合作社突破了欧洲经济利益集团不具有经营权的障碍，没有适用有限责任。尚在审议中的《欧洲有限责任公司条例》草案要创设一个超国家的有限责任公司形态，它凸显出欧盟在构建真正意义上与成员国公司法平行且独立的公司法律体系的道路上继续前进。

Innovation of Supra-national Commercial Organizations in European Union

In the process of economic integration, European Union develops some supra-national commercial organizations. As the first supra-national commercial organization, European Economic Interest Grouping is not a real company. Although SE also has the same characteristic of border-across and free-flowing as European Economic Interest Grouping, it differs in incorporation, liability assumption and worker involvement. European Cooperative Society enjoys the rights to operate itself, but its members assume unlimited liability. Proposal for a Council Regulation on the Statute for a European Private Company in discussion will not only creates supra-national private company, more importantly; it shows European Union moves on in the path of creating a legal system that is independent and parallel to national corporate legal system in real sense.
