| 摘 要： | 在公司治理中监事与监事会作为公司的监督机关对公司的正常运营和维护公司、股东利益有着重要作用。韩国商法中对公司监事制度作了较为详细的规定,而我国的公司法则对公司监事制度规定的过于简略、笼统。为克服我国公司监事制度的不足,可借鉴韩国公司法的相关规定加以完善。

| Abstract: | In a company, the riling supervisors and Supervisory Board, as the company supervisory institution, play an important role in the normal operation and in upholding the company's and stockholder's interests. There are more detailed stipulations in the Commercial Law Korea which are not included in China's Company Law. To address this issue, we can draw support from Korean Commercial Law to improve China's supervisory system. |
