With the development of Chinese market economy and the amendments of our corporation laws,it is now necessary to make reference to the ideas in Business Judgment Rule.This article makes the statutory definition of Chinese BJR and its applicable objects,and the application premises.It also analyses the main functions of BJR in the fields of derivative suits,corporation takeovers and anti-takeovers,and corporation employment.In the end,the article suggests that Supreme Court of China issue a judicial explanation to make the regulation of BJR,and draft the exhaustive and feasible reference contents.
