| 摘 要： | 上市公司集团关联性是世界各国所普遍存在的一种现象,与企业集团相关联,一方面能够促进上市公司的发展;但另一方面,上市公司的集团关联性也成为最终控股股东侵害外部投资者的一种工具和形式,导致了控股股东和中小股东之间的代理问题。基于上市公司集团关联性的相关理论分析,本文以中国证券市场上出现的造系运动为例,对集团关联上市公司中控股股东代理问题进行了分析。

| Abstract: | Listed companies' affiliation with business group is common in countries around the world.Affiliation with business group can facilitate the development of list companies.However,the structure of business groups may create agency problems between ultimate controlling shareholders and minority shareholders. Based on the theories of listed companies' affiliation with business groups,this paper analyses the agency problems of controlling shareholders in Chinese group-affiliated listed companies. |
