| 摘 要： | 我国1993年《公司法》规定公司设置监事会制度来专门行使对董事会及经理的监督权,但规定过于简单,操作性不强,最终使股东利益受损,监事会职权虚化。我国新修订通过的《公司法》对公司监事会制度进行修改,如何理解这些修改的内容对于完善我国公司法人治理结构,推动我国公司健康快速发展具有重要的意义。

| Abstract: | The old Law of Corporation,issued in 1993,stipulated that a board of supervisors system should be established by corporations to monitor the board of directors and managers.However,the simplified version of the stipulation is not very feasible,leading to the damage of shareholders benefit and useless of the board of supervisors.The new version of Law of Corporation has revised such system.It is of great significance to understand the revisions of the law. |
