中国外贸代理法律调整的演进及思考

中国的外贸代理自始处于法律规范不健全的状态。《民法通则》只规定了外贸直接代理,没有对外贸代理进行全面规范调整。外经贸部颁行的《关于对外贸易代理制的暂行规定》使外贸代理第一次有了专门性调整的法规,但也因其内容等方面的缺陷不能对外贸代理作出合理有效调整。现行《合同法》借鉴英美法系中的代理制度对外贸代理作出了合理调整,但亦存在不足之处,加入ＷＴＯ后,中国的外贸代理将面临更大冲击,因此,很有必要健全外贸代理制度,制定统一的《外贸代理条例》。

The Evolution of and Probe into Legal Regulation of China''''s Foreign Trade Agency System

China' s foreign trade agency has always been in a state of having no law to observe, the General Civil Code cannot guide it since the Code covers the direct agency only. Though the Provisional Regulations of Foreign Trade A-gency issued by the Ministry of Foreign Trade and Economic Cooperation provides it for the first time with special regulations , the defects of the Regulations make it almost impossible to regulate the agency effectively. The present Contract Law, borrowing the agency system of Western countries, has also defects. With China' s entry into the WTO, the foreign trade a-gency remains and will remain but it faces challenges now. Therefore, in order to have a sound system of foreign trade it is necessary to make out a unified Foreign Trade Regulations.
