| 摘 要： | 人力资本对传统的公司治理制度提出了挑战，人力资本的产权性、专属性、高效性决定了其所有者成为公司治理主体的正当性。但这一正当性在得到理论界认可的同时因未得到法律的全面确认和保障而无法发挥作用。拟从公司法、劳动法等角度论述人力资本所有者成为公司治理主体的法律保障问题。

| Abstract: | Human capital challenges the traditional corporate governance theory. The character of human capital determines the re-asonability of its owner being the subject of corporate governance. But the legal admission and guaranty is not enough. The paper studies the issue from the angle of company law and labor law. |
