| Abstract: | The system of stock options overcomes the contradictions between principals and agents in company; the system of independent director solves the problem "insider control". Stock options, independent director and corporate administration are interdependent and interactive. This article holds that it is quite necessary to implement the system of stock options and that of independent director, and improve corporate administrative structure with system transform to push the building of modern enterprise system forward. |
