独立董事制度是完善公司治理的一项重要制度。要使独立董事真正能够实现最初目的，需要规范和明确独立董事的职权与权利、职责与义务，制定保障职权与权利实施、监督职责与义务履行的各项措施。阐述我国独立董事制度的内容、实施现状、存在问题，提出立法、设立协会、建立外派制度、完善责任保险四方面改进的措施。

A Probe into the System of Independent Directors On Rights and Duties as to the Authority of Independent Directors

Independent directors are a significant corporate system in respect of the enhancement of corporate governance. To ensure the realization of the original purpose for introduction of independent directors, we need norms, and specify their authority, rights and duties, and lay down any relating measures guaranteeing the achievement of authority and rights as well as the performance of their duties. The concrete content, implementary conditions for now,including the existing problems were elaborated, and furthermore, personal advice on four measures covering legislation, institution of relevant associations, foundation of assignment system and perfection of relating liability insurance was given.
