论我国基金会的公私制衡

随着基金会的发展，实践中出现了滥用基金会从事借贷、信托活动、股权投资、为企业提供担保抵押等背离公益使命的现象。基金会未来到底朝着理想的公民社会前进，还是走向浪费社会资源的穷途末路，成为爱心人士的散财之道还是商人和官员的藏私之器，如何实现私法自治与公共干预的平衡成为研究的焦点。借鉴国内外学者对基金会与政府关系的研究成果，我国基金会与政府的应然关系是向伙伴关系发展，实际上两者处于互相依赖、协作的阶段。最后，从基金会制度的立法模式、内部治理中理事责任、利益相关者利益及外部双重管理体制四个方面探讨基金会制度中公法干预对私法自治空间的限制。

On Public and Private Cohesion of Foundation in China

With the progress of foundations, some problems as abusing fund to engage in lending, trust, equity investment and providing credit guarantees for enterprises would be emerging out in practices. Foundation will be moved towards ideal civil soci- ety or head for the end of its wasting social resources road. The functioning of fund provides ways for all walks of life who love the donations or feathers merchant and officials nest. How it came to achieve the balance between private autonomy and state coer- cion is the focus. Through studying the fund and government relationship of the domestic and overseas scholars, the limitation of the space of running of private law by the public law interference is discussed from four aspects.
