| 摘 要： | 创业投资公司的治理是创业管理领域研究的一个热点问题，本文以公司治理理论为基础，分析了创业投资中的信息不对称问题和委托一代理关系，提出了创业投资中涉及投资者、创业投资公司和创业企业家3个行为主体和两层委托一代理关系，并在实践基础上探析了解决委托一代理问题的相关措施。
