| 摘 要： | 独立董事制度作为“一元制”欧美国家(特别是美国)改善上市公司治理结构的一种制度安排受到许多专家学者的青睐。文中通过全面分析该制度的自身缺陷与我国独立董事制度的实际情况,认为它既不能实现对中小股东的保护,防止上市公司内部人控制,又不能解决其与监事会职能冲突等一系列实际问题。所以笔者认为其对我国上市公司治理结构的完善作用是极其有限的,完善上市公司制度我们应另辟蹊径。
