| 摘 要： | 我国新《公司法》尊重意思自治的理念,凸显公司章程的效力。新《公司法》分别从对公司内部组织关系、经营行为的效力和对外的效力两个方面予以规定,同时明确了公司章程的效力范围,准确界定了设立协议和公司章程的关系以及强制性规范和任意性规范。公司章程的规定不能对抗善意第三人。

| Abstract: | In the new "Corporation Law" of our country,the will autonomy is respected and the effectiveness of corporation charter is emphasized,which is ruled respectively from internal organization relationship of corporation,effectiveness of management and operation.The range of effectiveness is also clarified including defining the relationship between setting up contract and corporation charter,determining forceful standard and arbitrary standard,and the regulation of corporation charter unresisting against the person of good will. |
