以竞争力为导向的企业所有权安排

目前学术界对最优企业所有权安排的研究众说纷纭,其中以资本雇佣劳动论、劳动雇佣资本论和利益相关者共同治理论最具影响力。事实上,竞争条件下的企业所有权安排最优的逻辑起点是竞争力而非风险承担;市场中的企业并不存在恒定不变的和统一的最优企业所有权安排,最优企业所有权安排可以呈现资本雇佣劳动、劳动雇佣资本和利益相关者共同治理以及他们的边际修正等系列形式;对于竞争条件下追求持续发展的企业,各种形式的最优企业所有权安排均是以竞争力为导向的安排;企业所有权安排的最优状态不能孤立地存在,与公司治理生态系统的状况互为依存。也就是说,最优企业所有权安排是以竞争力为导向的,它将为企业提供持续创新的动力机制。

Ownership Arrangement of Enterprise Oriented to Competitiveness

Based on the study on the main theories about the best ownership arrangement of enterprise (OAE), this paper obtains the following results: 1. Under the competition, the logic pre-condition of the best OAE is competitiveness, but not risk undertaking; 2. The best OAE changes with the life cycle of enterprise and the industries; 3. For the enterprise aiming to sustainable development under the competition, the various best OAEs are the ownership arrangement oriented to competitiveness;4. The best OAE mutually depends upon the company governing ecologic system.
