摘    要:随着社会主义市场经济的发展,现代企业制度在我国国有企业中逐步得到确立。在这一过程中,国企内部结构存在着一些与市场经济要求不相适应的地方,尤其是权力制衡的企业内部管理机制还有待完善,对企业职工特别是企业控股职工利益的保护尚显欠缺,并由此引发一些问题。应进一步实现所有者和经营者的分立,不断完善股东会、董事会、经理自身制度及其分立制衡制度,加快建立决策民主、管理科学的法人治理结构。

Abstract:As the market economy is developing, the reform in our country's state-owned economy and the establishment of modern enterprise system become the vital matter of immediate urgent. There exist many unreasonable places in our legal person's administration. Power's restriction and balance system has not been established."government control"problem is very serious. Enterprise workers especially workers holding shares' interest is damaged seriously and state-owned property is running off.In order to resolve these problems We must improve internal administrable system and establish administrable mechanism which can make democratic and scientific policy decision.
