| 摘 要： | 债权人代位权是保全债权人实现其债权的一种法律制度，我国新颁布的合同法第一次对此作出了规定，反映了我国债权制度的完善，本文论述了债权人代位权制度的重要意义，并对债权人代位权的成立要件、代位权的行使及效力等问题作了进一步研究和探讨。

| Abstract: | The right of subrogation is a legal item securing the creditor's rights, which appears for the first time in China's newly issued contract law and is an improvement of China's law of obligation. This article discusses the significance of this right and other problems related to its requirements, execution and effectiveness. |
