| 摘 要： | 对我国国有企业中的法人治理结构存在的问题，如股东会形同虚设、监事会监督不到位等进行了探讨，并从产权制度改革、引进外部董事、监事等方面提出了相应的建议。最后就国外一些企业的法人治理结构对我国的借鉴进行了分析。
