| 摘 要： | 公司是由当事人之间的契约组成的,在对公司进行法律规范的时候,应当让契约自由精神贯穿始终。我国2005年新修订的《公司法》蕴涵了公司契约理论,这一理论在我国《公司法》中得以体现具有重要意义。
