| 摘 要： | 我国公司法在2013年进行了一次主要关于注册资本制度改革的修订,正式取消了有限责任公司、一人有限责任公司、股份有限公司最低注册资本的限制,除法律有特别规定的以外。从最低注册资本制度的概念与价值取向为出发点,论证了其存在的合理性及废除的必然性,从而进一步提出了相关配套制度建立与完善的建议。

| Abstract: | Company Law in China was amended in 2013. It officially cancelled the restriction on the minimum registered capital of the limited liability company, one-person limited liability company and company limited by shares, unless otherwise specifically provided for in laws. This article starts from the concept and the value of the minimum registered capital system to demonstrate the reasons of its existence and abolition, and further puts forward some proposals concerning the establishment and perfection of the relevant supporting system. |
