| 摘 要： | 2005年《公司法》已经十届全国人大常务委员会第十八次会议正式通过。新公司法对旧公司法的诸多制度作出了全新的修改。2005年《公司法》的出台，对于中小股东合法权益的保护机制健全和完善具有十分重大的意义。
