论“二次契约”与企业内部法权利体系的构建——以现代公司为例探讨

企业的法权利体系包括外部法权利体系和内部法权利体系。我国现行企业法偏重规范企业的外部行为 ,对内部关系的调整则较为薄弱。为此 ,企业法要着力于对企业内部法权利体系进行构建 ,通过在企业内部建立“二次契约”(协作关系契约 )制度 ,使企业法成为调整企业内部自发形成的关系的法律 ,保障企业生产经营的参加者协同生产创造剩余 ,并相应地分享剩余的权益 ,以促进企业普遍持久地发展和繁荣

On"The Second Contract"and Construction of the Internal Rights System of Enterprises

To strengthen the vitality of enterprises ,the enterprise law should take efforts to adjust internal relations of enterprises by establishing "the Second Contract" (the contract of coordination relations )inside enterprises ,then set up the right system of enterprises ,guarantee the right of creating surplus and share the surplus (that is material wealth ,also regarded as increment interest and profits , similarly hereinafter),promote the development and prosperity of the enterprises .
