| 摘 要： | 通过对新《公司法》中确立的股东代表诉讼制度的一些具体问题的剖析,阐述了其中规定过于原则化和缺乏可操作性的疏漏,并以此分析为前提结合我国目前的实际情况提出进一步完善该制度的立法建议与对策。

| Abstract: | The shareholder representative litigation system is established by the new "Law of Corporation".It steps out a stride in the international tidal current of the consummation corporate governance.But,the stipulation in the new " Law of Corporation " is so principlle and lacks operation that it is not displayed its positive sense.In this article the author analyses some basic problem in the shareholder representative litigation system and puts forward some constructive legislation suggestions. |
