| 摘 要： | 损害赔偿请求权的本质即在一定意义上来说是对公司法律人格和有限责任的一定限制。从属公司损害赔偿请求权的本质是损害赔偿之债的一种。因此除了满足一般损害赔偿之债的成立要件以外,还具有特殊性。根据损害赔偿义务人不同,可以分为对控制公司及其负责人的损害赔偿请求权和对从属公司的损害赔偿请求权。损害赔偿的范围包括约定赔偿范围和法定赔偿范围。

| Abstract: | In another word,the essence of the claim for damage compensation is the limitation of legal personality and limited liability.The subordinative company's claim for damage compensation is one of the damage compensations.Thus,besides necessary documents of general damage compensation should be provided,special documents must be presented.According to different damage compensation obligations,the claim can be classified into claim for damage compensation of parent company and executive officials and the claim for damage compensation of subordinative company.The range of damage compensation includes promised compensation range and legal compensation range. |
