| 摘 要： | 以福州铅笔厂和南昌黑炭白项目产公交易为全,对我国国有企业产权交易中普遍存在的负商誉现象进行了分析，指出政府和企业管理商誉意识的误差和淡薄，是负商誉普遍存在的直接原因，而产权交易双方委托代理关系的不对称则是负商誉普遍存在的制度原因。

| Abstract: | Taking a certain case for example, this paper points out by the analysis of the universally-existing negative commercial credit among the state-owned enterprises in China that the error and the thinness of the commercial credit between the government and managers directly result in the negative commercial credit, that the non-symmetry of entrusting and acting relationship on both sides is the systematic reason that negative commercial credit exists universally. |
