| 摘 要： | 从我国企业负债率较高,银行参与公司治理不足,根据国外银行参与公司治理的实践及理论发展趋势,剖析了影响我国商业银行参与公司治理的法律与体制因素,提出了我国商业银行参与公司治理的政策建议。即商业银行通过债权治理模式参与公司治理,条件成熟后,商业银行通过股权治理模式参与公司治理。

| Abstract: | Our country's enterprises has high debt ratio.Commercial banks have not sufficiently participated in company management.The influence on it in view of law and system is analyzed according to the practice of foreign banks' participation in company management and development trend in theory. The suggestios are put forward.Namely the commercial bank participates in company's management through the control mode of creditor's rights,after the condition is ripe,through the control mode of the stock right. |
