| 摘 要： | 公司治理结构是一种基于效率原则的关于企业组织内部各要素贡献者之间责任、权利、风险、与利益相匹配的制度安排 ,其模式主要有英美模式、大陆模式和家族模式。各种模式各有利弊。近年来 ,公司治理结构出现了趋同的势头 ,国际上对公司治理的原则形成了基本共识。
