| 摘 要： | 私募基金由于其高风险、高收益、高门槛的特征，使其在金融领域总是最具有吸引力。近年来随着中国私有化进程的加快，政府不断出台有利于风险投资基金的法律法规的，中国已经成为私募基金最为看好的市场之一。本文主要介绍私募股权投资的概况，并从实际操作层面简要探讨国外私募基金在中国投资所面临的几个主要问题。

| Abstract: | Private placement fund is indubitably one of the most attractive in the financial field..With the characteristics of high risk, high proceeds and high threshold, private placement fund has distinguished it from the mutual fund. There is no denying that China has become one of the favorite destinations for private equity investments in recent years. On the venture capital side, the dynamics are even more palpable given the government＇s commitment to privatization, call for home-based innovation and passing of new laws enabling formation and availability of venture capital funds. |
