合伙主体的层次与合伙立法研究

对于合伙的主体地位问题应分别研究,不作一刀切式划分。民事合伙是纯粹契约式合伙,应规定于民法总则或债编之中。对于商事合伙,则应当借鉴法人制度标准,对不同形式合伙的主体性分层次划分和研究。对于主体层次较低之普通合伙,立法上不应作过多干涉。对于主体层次较高之有限合伙,立法上应借鉴法人制度,协调有限合伙、内部合伙人及外部债权人之利益。对于高层次主体之有限责任合伙,则应直接赋予其法人地位。

The Legal-Entity Layer of Partnership and the Legislation of Partnership

The partnerships for common civil affairs are just the contracts between different persons,so they should be ruled in the general provisions of Civil Law or the law of obligation.Then the partnerships for commercial affairs should be regulated and studied by layer regarding to the Corporation Law system.To the low-layer General Partnership,it should be regulated mostly by the autonomy of the will of the partners.To the higher-layer Limited Partnership,the legislation should introduce the related regulations of the Corporation Law system to coordinate the interests of the Limited Partnership itself,the partners and the creditors.To the highest-layer Limited Liability Partnership,the legislation should accept it as the corporation.
