| 摘 要： | 创业风险投资机构是沟通投资者与风险企业的纽带，其公司治理机制关系到整个创业风险投资的成败，而不同的组织形式会导致不同的公司治理效应。有限合伙制兼有传统合伙制和现代公司制的优点，能解决创业风险投资机构复杂的公司治理问题，建立有效的激励约束机制。我国应积极为有限合伙制创业风险投资机构的发展创造良好的经济条件。

| Abstract: | Venture capital institution is a bond between investors and venture enterprises,whose corporate governance is dealing with the whole operation of venture capital,and different organizational forms result different governance efficiency.Limited partnership has the advantages of traditional partnership and modern corporate system,which is helpful to solve complicated corporate governance problems and build incentive and restraint mechanism for venture capital.Sound economical conditions must be provided for the development of limited partnership venture capital enterprises in China. |
