试析公司法人治理结构的完善

随着我国国有企业改革的不断深入,公司治理结构的问题逐步引起各界的关注。公司治理的有效性将直接影响到市场经济的发展和社会的进步,公司法人治理结构的完善是当前我国公司法理论研究的热点问题。文章拟从产权结构的完善法人财产权的核心地位论及公司应实行董事会中心主义,进而强调公司治理中监督体系和民主管理体制的完善。在我国国有企业的特殊环境中,有必要强调经营管理权独立出来。

The improvement of corporate governance structure

Close attention is being paid to the corporate governance structure with the deepening of the reform of state - owned enterprises. The effectiveness of corporate governance will influence the development of the market economy and the progress of the society directly. Therefore the improvement of corporate governance structure is the hot subject on the theoretical study of the company law. This article contends that property rights are in core position during the process of the improvement of property right structures. Therefore companies should be operated under direct guidance of the board of directors and improve their supervision mechanism and democratic management system. It is necessary to separate managerial authority rights from others under special circumstances of our state-owned enterprises. This article is focused on limited companies.
