| 摘 要： | 本文通过公司这一市场化大生产载体的统摄，以公司引发的法律关系为主线，阐释了民法对公司取得民事流转主体地位的调整，只关注了平等主体间的关系，却忽视了公司内部关系制度构建。而针对公司发展、民法调整不足应运而生的商法，依托对公司本质的认识，形成了较完整的有关公司的法律规制。

As a result, commercial law can be introduced to make up for the deficiency of civil law in regulating companies. |
