公司控制权配置:模型、特征与效率性选择研究

公司控制权配置的治理创新必须与全球化的资源配置机会及效率竞争大背景相协调。本文基于法律制度确认的权利依据,构建了公司控制权配置的综合模型,分析了由模型得出的基础性组合模式及其特征,并从效率与垄断、效率与竞争以及效率与代理等视角对基本组合模式进行了探讨和选择,为公司控制权的配置改革提供了一个基本框架。

The Research on Allocation of Corporate Control Rights -model, Feature and Option of Efficiency

The innovation applied to allocate the corporate right of controlis closely related to the background combined with the worldwideopportunities of resource disposition and efficiency competition. Basedon relative regulations and acts, this paper constructs a synthetic modelto measure the allocation of corporate right of control, and analyzes theregular compound patterns deriving from the model and their features aswell. Furthermore, this paper probes into the different compound patternsand makes option in reference to varied principles such as efficiency andmonopoly, efficiency and competition, efficiency and agency. All theseprovide the management innovation with a framework of the allocationof corporate right of control.
