再论独立董事与监事会之关系

最新颁布的《公司法》使独立董事在我国的法律上正式确立了自己的地位。现在处理好独立董事与监事会的关系,已经成为实现公司治理制衡机制的关键所在。本文从独立董事与监事会之间的冲突入手,对两者并存的必要性和可能性加以分析,着重提出两者关系构建和协调的完善对策。
