公司的治理结构 ,内生于其赖以存在的经济环境 ,为企业活动基础的产权分配和行使的国家框架所左右 ,不同的约束就会有不同的最大化选择 ,因此治理结构呈现出明显的多样性。国有企业改革的核心就是在既定的约束的条件下对公司治理的各种可能做出选择 ,从而明确一些基本而关键的问题。既然是选择 ,结果就不必是惟一 ,也不可能惟一 ,而重要的则是在这一重复性的选择过程中 ,因地制宜 ,把握好需要遵循的基本原则

Diversified Choices of Corporate Governance and Reform of the State-owned Enterprises

As corporate governance is a series of legal, cultural and institutional arrangement on allocation of corporate control right and residual claim right, corporate governance embodies processes and systems by which corporate enterprises are directed. These arrangements decide what the main corporation's object is, who, when and how exercise their control on enterprises? How the risk and benefits be attributed among different members of enterprises? Since the beginning of the economic reforms in 1978, China has been searching an efficient corporate governance system for its state-owned enterprises (SOE). From the experience of the reform and the history from state to state, it shows that there is no single mode which is efficient for all the circumstances. So for future reform, it need not repeat the past, but to find some basic principle to follow which should be obeyed in the process of choosing the most suitable corporate governance structure in different circumstance for all sorts of SOE in China .
